Account Registration, Security & Team Management

Eligibility & Capacity

To establish an Account or utilize the Services, you must be a natural person of at least eighteen (18) years of age, or the legal age of majority within your jurisdiction, and possess the full legal and contractual capacity to enter into a binding agreement.

Registration Integrity

Users must provide accurate, current, authentic, and complete information during the onboarding and registration process, including verified email addresses, phone numbers, and legitimate tax or corporate registration documentation where required. You assume primary responsibility for operational failures, settlement delays, or legal non-compliance arising directly from inaccurate, obsolete, or falsified registration metrics.

Credential Confidentiality & Security

Your Account credentials (usernames, passwords, API tokens, integration keys) are confidential. You are the custodian of these keys. Actions taken under your Account credentials will be deemed as actions initiated by you. You must notify KonfHub's security desk immediately at security@konfhub.com upon discovering or suspecting unauthorized access, credential breach, or system vulnerability associated with your account.

Organizer Profiles & Organizer Permissions

The master Organizer account retains primary legal and financial responsibility for configurations, data alterations, ticket adjustments, and platform operations executed by invited sub-users.

The master Organizer is responsible for configuring Organizer Permissions (Role-Based Access Controls) appropriately. KonfHub is not liable for data deletions, unauthorized ticket price modifications, leakage of attendee lists, or financial adjustments resulting from an Organizer granting inappropriate permission levels to team members or third-party contractors.

Acceptable Use Policy (AUP)

This Section defines the parameters of permitted behavior on the Platform. A violation of these clauses constitutes a material breach of this Agreement, authorizing KonfHub to invoke suspension or termination measures in accordance with Section 14.

Prohibited Activities

You agree that you shall not utilize the Platform, Services, or infrastructure to engage in, facilitate, or support:

  • Illegal & Fraudulent Activities: Any actions that violate local, state, national, or international laws, including financial fraud, identity theft, money laundering, or hosting deceptive schemes, multi-level marketing (MLM) structures, or ponzi networks.
  • Malicious Network Infrastructure: The introduction, uploading, or dissemination of malware, ransomware, Trojan horses, spyware, time bombs, keyloggers, or other lines of code designed to corrupt, interrupt, limit, or seize the functionality of hardware or software assets.
  • System Scraping & API Abuse: The deployment of automated bots, spiders, crawlers, scrapers, or scripts to extract Attendee lists, event metrics, pricing matrix data, or proprietary Platform Content. You shall not execute high-frequency, automated calls to KonfHub APIs or Webhooks that exceed standard rate limits or degrade service responsiveness.
  • Phishing & Deceptive Data Collection: Constructing deceptive event registration pages, fake quizzes, or mock ticket gateways intended to surreptitiously harvest banking details, passwords, personal identifiers, or credentials from Attendees.
  • Ticket Scalping & Unauthorized Arbitrage: Purchasing ticket allocations for the primary purpose of executing unauthorized resale, secondary market scalping, or commercial arbitrage via third-party web portals without the written permission of the Organizer and KonfHub.
  • Spamming & Channel Abuse: Utilizing KonfHub's integrated WhatsApp messaging systems, email campaign modules, or SMS triggers to distribute unsolicited commercial advertisements, marketing blasts unconnected to registered events, or text blocks violating local anti-spam regulations (e.g., CAN-SPAM, TCPA, TRAI regulations).
  • AI Prompt & Feature Abuse: Intentionally feeding malicious inputs, prompt injections, adversarial overrides, or jailbreak syntax into the Platform's AI Features to generate illicit material, bypass content moderation filters, or break system guardrails.
  • Intellectual Property Infringement: Uploading User Content that infringes upon any third-party patent, trademark, trade secret, copyright, right of publicity, or privacy entitlement.
  • Impersonation & Social Engineering: Registering profiles or staging events under the false pretense of representing an official brand, government agency, educational institution, or international community group to which you have no verified affiliation.

Organizer Obligations & Product Capabilities

When acting as an Organizer, you are entering into a direct and independent contractual relationship with your Attendees, Speakers, Sponsors, Exhibitors, and other Event participants. KonfHub provides the technology platform and software tools that facilitate the creation, management, promotion, ticketing, and operation of Events, but is not the organizer, promoter, owner, or host of any Event unless expressly stated otherwise.

The Organizer remains solely responsible for the planning, content, conduct, safety, regulatory compliance, execution, and fulfillment of the Event and all commitments made to Event participants.

Event Creation & Content Integrity

Organizers must ensure all descriptive elements uploaded to an event page—including venue addresses, schedules, speaker lists, ticket pricing tiers, inclusive amenities, and sponsor placements—are clear and factual. Organizers may not modify event parameters post-sale so substantially (such as shifting an event from a physical city venue to a basic virtual webinar without adequate notice or alternative choices) that it violates applicable consumer protection laws.

Management Tiers & Operational Performance

Organizers utilizing specialized product features agree to the following parameters:

Exhibitor Portal & Lead Capture

Organizers providing an Exhibitor Portal to corporate sponsors or vendors must ensure that exhibitors comply with applicable privacy rules. When exhibitors utilize the Lead Capture utility (e.g., scanning an Attendee's physical badge QR Code via the Event App or Exhibitor Portal), the Organizer and Exhibitor are responsible for ensuring that the Attendee has provided informed consent to have their contact profile captured. KonfHub acts as a technical conduit for lead data transmission and is not responsible for how exhibitors process, store, or contact captured leads.

Badge Printing & QR Codes

KonfHub generates digital ticket tokens embedded with QR Codes for secure validation. While KonfHub provides compatible software plugins or layout architectures for Badge Printing, the Organizer is responsible for procuring, testing, and managing the physical printing hardware, internet connectivity at the venue gates, and local staffing required to handle physical check-in flow.

Bulk Uploads & Data Integrity

When utilizing the Bulk Uploads utility to import databases of attendees or partners, the Organizer represents and agrees that every individual within the uploaded dataset has given verifiable legal consent to be imported into the Platform ecosystem and to receive automated platform emails, transactional SMS, or WhatsApp notifications.

KonfHub shall provide reasonable technical tools and documentation within the Bulk Upload interface to assist Organizers in recording and evidencing consent status for uploaded individuals. Where KonfHub processes Personal Data uploaded via Bulk Uploads on behalf of the Organizer, it does so as a data processor within the meaning of GDPR Article 28, and both parties acknowledge shared obligations under applicable data protection law. KonfHub's liability for processing failures under this sub-section is limited to failures caused by KonfHub's own systems or malformed data transmitted by KonfHub; the Organizer bears responsibility for failures arising from incomplete or incorrect source data.

Digital Certificates

Organizers are responsible for validating the accuracy of attendee compliance metrics before authorizing the automated distribution of Digital Certificates. KonfHub is not responsible for typographical errors, fraudulent certificate claims, or unearned credentials issued via the automated template manager.

Session Check-ins & Analytics

The Platform provides specialized tracking mechanisms for granular Session Check-ins. Organizers acknowledge that compiled Analytics graphs, attendance tallies, and heatmaps are derived from real-time user data streams and hardware scans. While KonfHub takes steps to ensure processing accuracy, it does not guarantee that analytics will represent continuous real-time data under unstable local network environments.

White-label Events

For premium tiers utilizing White-label Events, the Organizer is responsible for purchasing, pointing, and maintaining their custom domain name, keeping SSL/TLS certifications configured, and managing domain-specific email authentication protocols (such as SPF, DKIM, and DMARC keys). KonfHub is not liable for event page invisibility, email delivery failures, or security blocks caused by misconfigured DNS zones or domain expirations under the Organizer's control.

Attendee Obligations & Rules of Engagement

Registration & Credential Misuse

Attendees must register for Events using their true legal identity or official professional profiles. You are prohibited from transferring, sharing, lending, or selling your ticket QR Codes, physical badges, or Event App access codes to another individual without the verification of the Organizer and system modification via the Platform.

Code of Conduct Enforcement

Whether attending an Event virtually via the Event App, participating in an AI Networking chat, or occupying a seat at a physical venue, Attendees must maintain professional decorum.

  • Prohibited Behavior: You shall not engage in harassment, stalking, targeted bullying, racial slurs, sexual misconduct, gender-based discrimination, or disruptive shouting during speaker sessions.
  • Enforcement: A violation of this standard gives the Organizer and KonfHub the right to suspend or deactivate your digital access, revoke your Event App token, or remove you from the physical or virtual premises, subject to the refund policies of the Organizer.

Lead Capture Consent

When an Attendee allows an Organizer, Sponsor, or Exhibitor to scan the QR Code on their mobile device or physical badge using the Lead Capture feature, that Attendee acknowledges that they are voluntarily disclosing their registration profile data (including name, email, phone number, and corporate title) to that specific third party. This action constitutes direct consent, and the Attendee must look to that third party's privacy policy regarding how their personal dataset is managed thereafter.

Financial Policies: Payments, Fees & Taxes

Fees & Subscription Billing

  • Platform SaaS Fees: Organizers utilizing the paid plan tiers agree to pay applicable Platform SaaS Fees based on the Plan type selected. The fees are non-refundable, except as explicitly required by law or provided for herein.
  • Ticketing Commissions: For paid events in India, KonfHub collects a platform usage fee, calculated as a percentage of the gross ticket price, along with applicable statutory taxes (e.g., GST in India). These fees are deducted at the point of sale or compiled into periodic statements, depending on the contract tier.

Payment Gateways & Transaction Failure

KonfHub integrates with third-party payment infrastructure providers (e.g., Stripe, Razorpay). KonfHub is not a bank, money transmitter, or licensed clearinghouse. We are not liable for transaction failures, bank routing delays, localized payment interface dropouts, or security card blocks enforced by an Attendee's issuing bank.

Offline Payments

The Platform permits Organizers to toggle an option for Offline Payments (e.g., purchase orders, checks, direct corporate bank wires). When an Attendee selects this option, the Platform generates a pending ticket and invoice. The Organizer assumes primary responsibility for the monitoring, manual verification, and financial collection associated with Offline Payments. KonfHub does not track bank wire arrivals, verify check clearances, or collect outstanding debts. The Organizer must manually confirm receipt within the dashboard to convert the ticket from "Pending" to "Active." KonfHub reserves the right to charge its platform processing fees for tickets validated through this tracking mechanism.

KYC Verification, Payout Settlements, & Gateway Reserve

  • KYC/AML Requirements: Event ticketing revenues will be settled or transferred to an Organizer's bank account following the successful completion of our automated Know Your Customer (KYC) identity verification, corporate charter validation, and Anti-Money Laundering (AML) compliance screening.
  • Settlement Mechanics: Processed ticket revenues are disbursed on a recurring, periodic basis, subject to deduction of platform fees, chargeback allocations, and gateway operational charges.
  • Gateway Reserve — Defined Limits: Where KonfHub determines that a Gateway Reserve is warranted based on clear indicators of elevated chargeback risk, suspected fraud, or systemic consumer complaints. The Gateway Reserve shall not be held for longer than one hundred twenty (120) calendar days following the conclusion of the Event. KonfHub shall provide written notice to the Organizer specifying the basis for the reserve, the percentage or amount withheld, and the anticipated release date.
  • Reserve Appeal Mechanism: The Organizer may formally dispute a Gateway Reserve determination by submitting a written appeal to support@konfhub.com within fifteen (15) business days of receiving notice. KonfHub shall review the appeal in good faith and provide a written response within fifteen (15) business days of receipt. If the appeal is upheld, the disputed reserve amount shall be released within seven (7) business days.
  • Fraud Reviews: KonfHub may place a temporary administrative hold on payouts, subject to the limits defined above, if an event exhibits clear indicators of risk. Any hold imposed for security review purposes beyond thirty (30) days shall require KonfHub to provide updated written justification.

Currency Conversion & Foreign Exchange

  • If an Event accepts multi-currency transactions or international credit cards, the conversion metrics, exchange rates, and foreign transaction cross-border fees are determined by the processing banks and payment gateway providers. KonfHub is not responsible for fluctuations in global currency values or discrepancies caused by exchange rate variances between the date of purchase and the date of settlement or refund.

Tax Compliance

  • The Intermediary Role: KonfHub provides automated programmatic tools allowing Organizers to configure tax rates (e.g., GST in India, VAT in the EU, or local Sales Taxes) and generate automated invoices for buyers based on customer inputs.
  • Organizer Responsibility: KonfHub acts as an intermediary technology platform. The legal obligation to calculate, declare, report, file, and remit all applicable indirect and direct taxes to the appropriate revenue authority rests with the Organizer. The Organizer shall indemnify, defend, and hold KonfHub harmless from penalties, audits, interest levies, or legal actions instituted by tax authorities due to the Organizer's miscalculation or failure to remit taxes.

Cancelation, Refund & Chargeback Management

Organizer Autonomy & Refund Rules

Every Organizer establishes their own specific refund and cancellation policy (e.g., "No Refunds," "Partial Refunds up to 7 days before event"). This policy must be clearly displayed to Attendees on the event registration page. Attendees agree that requests for refunds must be directed to the Organizer, and KonfHub does not act as an arbitrator for subjective disputes regarding an event's value or adjustments to its schedule.

Force Majeure, Postponement, & Operational Changes

If an event is postponed, converted from physical to a virtual web format, experiences major speaker or venue adjustments, or is canceled due to external circumstances, the responsibility to issue, process, and manage attendee refunds sits with the Organizer. KonfHub is not under an obligation to issue refunds out of its corporate capital if an Organizer becomes insolvent, enters liquidation, or abandons an event.

System Reversals & Technical Issues

In scenarios where a payment clears at the exact moment a ticket category sells out completely, or if a verified technical glitch causes a duplicate charge, KonfHub's system will trigger a reversal. This automated refund will be processed back to the original mode of payment, typically taking approximately 5 to 7 business days depending on standard gateway clearance cycles.

Chargeback Liability & Negative Balances

  • The Organizer's Burden: If an Attendee initiates a formal Chargeback through their financial institution, the clearing network reverses the transaction value along with an administrative chargeback fee.
  • Reimbursement Mandate: The Organizer assumes primary responsibility for Chargebacks. If KonfHub has already settled those ticket funds to the Organizer, the Organizer shall reimburse KonfHub for the value of the clawed-back ticket plus the gateway's administrative penalty fee.
  • Negative Balances: Outstanding chargeback claims or unpaid platform subscriptions will create a negative balance on the Organizer's dashboard. KonfHub may deduct this negative balance from other active or future events managed by that Organizer, or pursue standard legal collection remedies.

Intellectual Property (IP) Architecture

The distribution of proprietary rights on the Platform is separated into four distinct categories:

Platform Proprietary System

KonfHub retains all right, title, and interest in and to the Platform and Services. This includes, without limitation, software code, algorithmic logic, UI/UX designs, database models, graphics, infrastructure scripts, security protocols, API keys, tracking metrics, trademarks (including "KonfHub"), patents, and corporate trade secrets. You do not acquire any ownership rights or implied licenses by accessing or using the Platform.

Organizer IP

The Organizer retains proprietary ownership over pre-existing trademarks, logos, brand guides, event themes, promotional graphics, and specific educational materials uploaded by them to customize their event pages. The Organizer grants KonfHub a non-exclusive, worldwide, royalty-free license to host, cache, display, and distribute the Organizer IP solely to execute, market, and perform the Services under this Agreement. Any sublicensing of Organizer IP is expressly restricted to authorized subprocessors and service providers engaged by KonfHub solely for the purpose of delivering the Services, and shall not extend to any commercial use, advertising, marketing of KonfHub's own products, or any purpose beyond direct service delivery.

Attendee Content

Attendees retain ownership over comments, text strings, feedback, profile photos, or workshop submissions they upload to the Platform or within the Event App. Attendees grant KonfHub and the specific Organizer a non-exclusive, worldwide, royalty-free license to display, index, and host this content within the scope of the Event parameters.

Speaker Content

Speakers retain their fundamental intellectual property rights regarding presentation slides, research papers, video lectures, and live speech scripts. The Speaker (or the Organizer, depending on their private arrangement) grants KonfHub the limited right to live-stream, record, compress, transcode, and play back such materials within the digital parameters of the Event App and post-event archives as authorized by the event configuration settings.

User-generated Content (UGC) & Moderation

Content Warranty

Any User who uploads, posts, streams, or transmits User Content through the Platform represents and agrees that they possess necessary copyrights, licensing rights, releases, and individual permissions required to publish such material.

Prohibited Content Parameters

User Content must not contain material that:

  • Is defamatory, libelous, obscene, pornographic, or sexually explicit.
  • Promotes extreme violence, terrorism, hate speech, or systemic discrimination.
  • Infringes upon any third-party patent, trademark, copyright, or privacy right.
  • Contains unauthorized personal identifiers or confidential data of another individual.

Copyright Complaints (DMCA & Local Takedown Rules)

KonfHub respects intellectual property laws. If you believe that material hosted on the Platform infringes upon your copyright, you may submit a formal Takedown Notice to our designated Intellectual Property Agent at legal@konfhub.com. Your notice should include:

  • A physical or electronic signature of the authorized copyright owner.
  • Identification of the copyrighted work claimed to have been infringed.
  • The exact URL links or location on the Platform where the material is located.
  • Your contact details (email, telephone, address).
  • A statement that the information provided is accurate.

Moderation, Archival Rights, & Retention Limits

KonfHub may review, flag, filter, modify, refuse, or remove User Content from the Platform if it determines such content violates this Agreement or poses a legal risk.

Archival Retention Limits: KonfHub may archive past event pages, databases, and historical user content configurations to maintain system records and ensure compliance with administrative storage regulations. However, such archival retention shall not exceed three (3) years following the conclusion of the relevant Event, after which KonfHub shall automatically delete or anonymize such archived event content in accordance with its data deletion procedures. Users and Organizers may submit a written request to legal@konfhub.com to request early deletion of their archived event content prior to the three-year period, subject to KonfHub's reasonable administrative requirements and applicable legal retention obligations.

Specialist Clauses: AI Services & Advanced Integrations

AI Features (Networking, Gallery, Booth) & Transparency

The Platform contains advanced features driven by automated artificial intelligence models ("AI Features"), including but not limited to AI Networking, AI Photo Gallery, AI Photo Booth, and other AI-assisted capabilities that may be introduced from time to time.

  • Assistive and Evolving Nature: You acknowledge and agree that all AI Features are provided on an "as-is" and "as-available" assistive basis. Generative models and computer vision tracking are subject to structural limitations. AI features may evolve, change, or be updated over time, and they utilize third-party AI infrastructure providers (such as OpenAI or other AI service providers).
  • AI Transparency Disclosure: KonfHub shall maintain an up-to-date list of primary AI model providers used within the Platform at konfhub.com/legal/ai-transparency. Material changes to core AI providers shall be disclosed to Organizers with reasonable advance notice. KonfHub commits to reviewing alignment with the EU Artificial Intelligence Act (EU AI Act) and applicable national AI governance frameworks as they become enforceable, and to publishing a corresponding compliance roadmap on its legal portal.
  • Error Reporting: If you believe an AI Feature has produced an inaccurate, harmful, or erroneous output that has caused or is likely to cause harm, you may report it to support@konfhub.com. KonfHub will review reported errors and, where warranted, take corrective action to improve model performance or add guardrails. KonfHub does not guarantee correction of any specific reported error but commits to good-faith review within thirty (30) business days.
  • Not Professional Advice: AI outputs, automated networking suggestions, photo generation metrics, or session insights are for convenience and informational purposes only. They do not constitute professional, legal, tax, or security advice.
  • Verification Obligation: Users, Organizers, and Attendees are responsible for reviewing and verifying the accuracy and safety of AI-generated outputs before sharing, publishing, or relying on them. AI outputs should not be relied upon as the sole basis for significant business, financial, or personal decisions.

Biometric & Facial Recognition Features

  • Explicit Informed Consent Requirement: The Organizer represents and agrees that they will obtain clear, explicit, separate, and affirmative informed consent from every participating Attendee prior to capturing or processing their biometric data, where required by applicable data protection laws.
  • Biometric Template Commercial Integrity: KonfHub commits that generated biometric templates are never sold, licensed, rented, or used for targeted commercial advertising.
  • Right to Withdraw Consent: Attendees maintain the right to withdraw their biometric consent at any time. If consent is withdrawn, the Platform or Organizer must immediately halt processing of that individual's biometric template.
  • Alternative Check-In Methods: Organizers must provide alternative, non-biometric methods for attendees who do not wish to use Facial Recognition (e.g., standard QR code scanning, manual visual ID verification, name-based photo searches). An attendee's refusal to provide biometric consent must not prevent them from accessing the Event.
  • Biometric Data Retention — Defined Timeline: Biometric data templates generated for an event shall be deleted or irreversibly anonymized within thirty (30) calendar days following the conclusion of that Event's operational lifecycle, unless a shorter retention period is required by applicable law or the Organizer's DPA. KonfHub shall provide written confirmation of deletion to the Organizer upon request. This timeline supersedes any inconsistent provision in the Privacy Policy with respect to biometric data templates specifically.

APIs, Webhooks, & Third-Party Integrations

  • Platform Connections: KonfHub offers custom APIs and Webhooks along with automated workflows for third-party automated platforms to allow connection with CRMs, email tools, and internal company workflows.
  • Third-Party Failures: KonfHub exercises no control over third-party platforms, external scripts, or connected APIs. Data corruption, leakage, duplicate messaging, or systemic failures occurring within third-party automation tools, or caused by misconfigured Webhook receivers on the Organizer's server infrastructure, shall be the responsibility of the Organizer and the relevant third-party provider.
  • Organizers may report suspected KonfHub-side integration failures to support@konfhub.com for investigation.
  • API Access Controls: KonfHub may throttle or suspend API access keys if an integration causes an unstable load or security anomaly on our core database clusters, with notice provided to the affected Organizer except where immediate action is required to protect platform integrity.

Communication Channels (WhatsApp, Email)

  • Opt-In Mandates: The Platform provides integrated pathways for sending text, email campaigns, and WhatsApp Messaging notifications to keep Attendees updated on schedules, ticket status, or venue updates. Organizers must ensure that all message recipients have opted in to receive communications on these specific channels and must honor all opt-out or "Unsubscribe" requests immediately.
  • Communication Delivery Realities: Since communication delivery relies on third-party mobile operators, telecommunication gateways, and specific API providers (such as Meta's WhatsApp Business infrastructure), KonfHub cannot guarantee 100% delivery success or uniform delivery speeds. We are not liable for communication delays or regional telco filtering blocks that occur outside our direct systems.

High-level Privacy Boundaries & Corporate DPAs

Regulatory Compliance Framework

KonfHub processes personal records in high-level compliance with international data protection frameworks, including the EU General Data Protection Regulation (GDPR) and the Indian Digital Personal Data Protection Act, 2023 (DPDP Act). The detailed operational mechanics, explicit data subject rights pathways, legal bases for processing, retention timelines, cookie infrastructure, and cross-border data transfer protocols are fully mapped and explicitly governed under the formal KonfHub Privacy Policy.

Mandated Data Processing Agreement (DPA)

Where required by applicable data protection laws, KonfHub will enter into a formal Data Processing Agreement (DPA) with the Organizer to govern the processing of Attendee and Event datasets. Eligible institutional or enterprise Organizers requiring these formalized data processing terms can initiate and execute our standard DPA by visiting the official compliance portal at konfhub.com/legal/dpa.

Operational Subprocessors Notice

To deliver the Services under this Agreement, KonfHub utilizes certain cloud hosting providers, payment gateways, and communications infrastructure subprocessors. A comprehensive, up-to-date registry of all authorized subprocessors is maintained on our website at konfhub.com/legal/subprocessors and may change from time to time as our infrastructure needs evolve.

Indian DPDP Grievance Escalations

In accordance with the mandates of the DPDP Act 2023, KonfHub has appointed a specialized Grievance Officer to manage data principal inquiries, consent withdrawals, and privacy complaints. Users may access the dedicated grievance redressal channel by routing formal communications to grievance.officer@konfhub.com. The Grievance Officer will acknowledge your message within 48 hours and make good-faith efforts to resolve the matter within the maximum timelines prescribed by statutory provisions.

Confidentiality Boundaries

Scope of Confidential Information

"Confidential Information" encompasses all structural, technical, financial, operational, or business information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Platform source code, non-public event analytics, attendee datasets, corporate passwords, custom integration designs, and strategic pricing agreements constitute Confidential Information.

Obligations of Protection

The Receiving Party agrees that it shall:

  • Use the same degree of care to protect the Disclosing Party's Confidential Information that it uses to protect its own confidential data of like kind, but in no event less than reasonable care.
  • Not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement.
  • Limit access to Confidential Information to those of its employees, contractors, and legal advisors who need such access for purposes consistent with this Agreement and who have signed confidentiality agreements containing protective bounds at least as stringent as those herein.

Compelled Disclosure

The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by local law, regulatory decree, or an official court subpoena to do so. The Receiving Party must give the Disclosing Party prompt, advanced written notice of the compelled disclosure (to the extent legally permitted) so that the Disclosing Party may contest, limit, or seek a protective order regarding the disclosure, at its own expense.

Suspension & Termination Architecture

Suspension Thresholds & Notice Requirements

KonfHub may suspend your Account, freeze active payout distributions, disable API access keys, or restrict access to an active Event page where reasonably necessary. Except in the circumstances listed below as Immediate Suspension Events, KonfHub shall provide a minimum of forty-eight (48) hours written notice prior to implementing any suspension, and shall provide a Cure Period of fifteen (15) calendar days for non-critical violations during which the affected party may remedy the identified breach before the suspension takes effect.

Immediate Suspension Events (no prior notice required):

  • Your account is confirmed to be involved in fraudulent activity, financial fraud, or organized criminal conduct.
  • We receive an official, valid legal directive or binding order from a government body, law enforcement agency, or court of law requiring immediate suspension.
  • Your platform configurations or integrated webhooks are causing severe, active instability or a security breach to KonfHub's server infrastructure.

Standard Suspension Grounds (48-hour notice + Cure Period applies):

  • You have violated this Agreement, the Acceptable Use Policy, or applicable law in a manner that is not an Immediate Suspension Event.
  • Your account exhibits high chargeback volumes or suspicious payment patterns not rising to the level of confirmed fraud.
  • You have failed to pay outstanding Subscription fees or have a persistent negative balance.

Payout Freeze Appeal: If KonfHub freezes payout distributions, the Organizer may submit a written appeal to support@konfhub.com within fifteen (15) business days. KonfHub shall respond in writing within ten (10) business days, providing either a release of the freeze or a detailed written justification for its continuance.

Termination Mechanics

  • Termination for Convenience: Users may close their accounts at any time by executing the automated account deletion sequence within their dashboard, provided all active events have concluded and all financial balances are settled.
  • Termination for Cause: Either party may terminate this Agreement if the other party commits a material breach and fails to cure such breach within thirty (30) days following receipt of detailed written notice from the non-breaching party.
  • Immediate Termination: KonfHub may terminate this Agreement and close your account immediately if you become insolvent, file for bankruptcy, enter liquidation, or repeatedly violate our core safety guidelines.

Effects of Termination & Survival

Upon the effective termination of your Account or this Agreement:

  • All licenses, functional access privileges, and usage rights granted to you under these terms shall cease.
  • You must disconnect and stop using all KonfHub APIs, Webhooks, Event Apps, and system components.
  • KonfHub will manage personal records in accordance with the data retention protocols outlined in our Privacy Policy.
  • Survival: Provisions which by their structural nature should logically survive termination shall survive, including but not limited to: Definitions, Intellectual Property owned by KonfHub, Financial Policies, Indemnification, Limitation of Liability, Confidentiality, Dispute Resolution, and Governing Law.

Indemnification

You agree to indemnify, defend, and hold harmless KonfHub, its parent corporations, subsidiaries, affiliates, and their respective directors, officers, employees, and legal agents (collectively, the "Indemnified Parties") from and against any third-party claims, demands, lawsuits, regulatory investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of, or relating to:

  • Your breach or violation of any provision, warranty, or covenant within this Agreement, including the Acceptable Use Policy.
  • Your User Content, including claims that your uploaded logos, videos, or presentation decks infringe upon third-party copyrights, trademarks, or trade secrets.
  • The organization, operations, and management of any Event hosted by you, including but not limited to claims regarding physical injury at a venue, property damage, contractual breaches with sponsors, or tax non-compliance.
  • Your processing of attendee data, including any regulatory fines, audits, or consumer complaints arising from your use of the Bulk Uploads tool or failure to obtain informed consent for biometric or Facial Recognition features.

Balanced Availability & Uptime SLA

Service Availability & Uptime SLA

  • Standard Uptime Commitment: KonfHub commits to an Uptime Percentage of at least 99.5% in any given calendar month for the Platform's core ticketing, registration, and event management functions.
  • Planned Maintenance Windows: Access to the platform may be temporarily restricted or offline during planned maintenance windows. KonfHub will provide a minimum of forty-eight (48) hours advance notice of planned maintenance via the Platform dashboard and email notification. Planned maintenance windows do not count against the Uptime Percentage calculation.
  • Beta Features: From time to time, KonfHub may introduce new features, experimental analytics tools, or early-stage AI capabilities designated as "Beta Features." You acknowledge that Beta Features are provided solely for testing and feedback purposes, may contain errors, and may be modified, changed, suspended, or completely withdrawn by KonfHub at any time. Uptime SLA commitments do not apply to Beta Features

Exclusion of Consequential Damages

  • To the maximum extent permitted by applicable law, under no circumstances shall either party be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with this agreement, regardless of the theory of liability. Prohibited damage claims include, but are not limited to:
    • Loss of actual or anticipated profits, corporate revenues, or business opportunities.
    • Loss of commercial goodwill, institutional reputation, or brand value.
    • Business interruption, project delays, or system operational downtime.
    • The cost of procuring alternative, replacement software services.
  • Exceptions — Consequential Damages Exclusion Does NOT Apply To:
  • (a) Breaches by KonfHub of its confidentiality obligations under Section 13 of this Agreement;
  • (b) KonfHub's infringement of a User's or Organizer's intellectual property rights as defined in Section 9.

Balanced Liability Cap

Except for a party's direct indemnification obligations under Section 15, or liability arising from a party's fraud, willful misconduct, or gross negligence, each party's total aggregate liability to the other for all claims, losses, or causes of action arising under or related to this agreement shall be strictly capped at, and shall not exceed, the greater of the total amount of ticket sale amount & fee actually retained by KonfHub from your specific account during the twelve (12) month period immediately preceding the event giving rise to liability.

Consumer Law Savings Clause

Nothing within this Section or this Agreement is intended to limit, exclude, or modify any rights, guarantees, or consumer protections that cannot be lawfully excluded or limited under applicable local consumer protection laws or mandatory statutory frameworks. In jurisdictions where blanket exclusions of certain warranties or limitations of incidental or consequential damages are legally invalid, KonfHub's liability shall be limited to the maximum extent permitted by the laws of that jurisdiction.

Specialist Compliance Modalities

Export Controls & Global Sanctions

The Platform and its underlying software components may be subject to international export control regulations and trade sanctions regimes. You represent, agree, and covenant that:

  • You are not located in, under the control of, or a national or resident of any country subject to comprehensive international trade embargoes or designated on global sanctions lists (including but not limited to the United Nations Security Council sanctions, the US OFAC Specially Designated Nationals list, or the European Union consolidated sanctions lists).
  • You will not utilize the Services, host Events, or invite Attendees in violation of applicable export control or sanctions laws.
  • You assume full responsibility for ensuring that your use of the Platform complies with the trade and customs laws of your operating jurisdiction.

Open Source Software Components

The Platform incorporates, utilizes, or connects with certain third-party software elements, libraries, or scripts licensed under open-source frameworks (collectively, "Open Source Software"). You acknowledge that while your master relationship with KonfHub is governed strictly by these Terms, specific Open Source Software components may be governed by their respective open-source licensing agreements (such as the MIT License, Apache License, or GNU General Public License). To the extent required by the applicable open-source license, the terms of such license shall apply to that specific component in lieu of these Terms.

Accessibility and Inclusion Commitments

KonfHub is committed to improving digital inclusion and platform usability. We make reasonable, ongoing efforts to design and align our core digital user interfaces, Event Apps, and attendee registration portals toward generally accepted accessibility standards, including the Web Content Accessibility Guidelines (WCAG) where reasonably practicable. If you encounter specific accessibility blocks or require reasonable accommodations, please notify our compliance desk at support@konfhub.com.

Force Majeure

Neither party shall be held liable or deemed in default for any failure or delay in performing its obligations under this Agreement (with the explicit exception of outstanding financial payment and subscription obligations) if such failure or delay is caused by circumstances beyond its reasonable control.

These circumstances include, but are not limited to: acts of God, natural disasters, floods, earthquakes, fires, lightning strikes, widespread blackouts, severe weather anomalies, pandemics, epidemics, public health emergencies, government-mandated lockdowns, travel restrictions, civil unrest, riots, acts of terrorism, war, sabotage, cyber-warfare, distributed denial-of-service (DDoS) attacks targeting core tier-1 cloud nodes, or widespread failures of public telecommunications networks and internet service providers.

The affected party must provide written notice to the other party detailing the nature of the Force Majeure event and must use reasonable efforts to mitigate its effects and resume performance as soon as practically possible.

Extended Force Majeure — Termination Right: If a Force Majeure event prevents or substantially impairs a party's ability to perform its material obligations under this Agreement for a continuous period exceeding ninety (90) calendar days, either party shall have the right to terminate this Agreement upon fourteen (14) days' written notice to the other party, without liability or penalty, except for: (a) payment obligations that have already accrued; and (b) any amounts owed for events that were successfully completed prior to the onset of the Force Majeure event.

Dispute Resolution & Arbitration

Informal Amicable Conciliation

In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, its interpretation, performance, or breach, the parties shall first attempt to resolve the issue amicably. The aggrieved party must send a formal written notice of dispute to legal@konfhub.com. Upon receipt, authorized representatives from both parties shall engage in good-faith consultations within thirty (30) business days from the date of the notice to reach a mutually acceptable resolution.

Binding Arbitration & Consumer Access Rights

If the dispute cannot be resolved through informal conciliation within the thirty (30) day window, it shall be referred to and finally resolved by binding arbitration, subject to the consumer carve-outs below.

Injunctive Relief Savings Carve-out: Nothing within this Section or this Agreement shall prevent or restrict either party from seeking temporary injunctive relief, emergency provisional constraints, or protective orders from a court of competent jurisdiction to preserve the status quo or protect its intellectual property interests pending the final appointment and decision of the arbitral tribunal.

  • For Disputes Governed under Indian Law: The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (including any subsequent amendments). The arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties. If mutual agreement cannot be reached within fifteen (15) days, the arbitrator shall be appointed in accordance with the Act. The seat and venue of the arbitration shall be Bengaluru, Karnataka, India, and the proceedings shall be conducted entirely in the English language.
  • For International Disputes: If the user is located outside of India, the arbitration shall be administered by a recognized international arbitration center (e.g., SIAC or ICC) as mutually agreed, or under the UNCITRAL Arbitration Rules. The seat of arbitration shall be Bengaluru, India, and the language of the proceedings shall be English.
  • EU & UK Consumer Carve-Out: Notwithstanding the foregoing, if you are a consumer (natural person acting outside of trade or professional purposes) located in the European Union or the United Kingdom, nothing in this Section shall prevent you from bringing a claim in the courts of your habitual residence in accordance with EU Directive 93/13/EEC on Unfair Terms in Consumer Contracts or applicable UK consumer protection legislation. This carve-out applies only to consumers and does not apply to business users or Organizers.
  • Small Claims Access: Claims with a value not exceeding ₹5,00,000 (INR Five Lakh) or equivalent local currency may, at the claimant's option, be pursued in an appropriate small claims court or consumer forum of competent jurisdiction rather than through binding arbitration. KonfHub shall not challenge the use of small claims procedures for eligible claims.

Class Action Waiver: EACH PARTY WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER PARTY. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. This waiver does not apply where prohibited by mandatory applicable law. If you do not wish to be bound by this class action waiver, you must notify KonfHub in writing at legal@konfhub.com within thirty (30) days of first creating your Account. Opting out of the class action waiver does not affect any other provision of this Agreement.

The arbitral award shall be final and binding upon both parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction worldwide. Each party shall bear its own expenses and an equal share of the arbitrator's administrative fees, unless the arbitrator's final award allocates costs differently to the prevailing party.

Miscellaneous Legal Clauses

Governing Law & Jurisdiction

This Agreement shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to the arbitration framework set forth in Section 19, any remaining legal suits, actions, or court proceedings arising out of or related to this Agreement shall be instituted exclusively in the competent courts located in Bengaluru, Karnataka, India.

Notices & Electronic Communications

  • To KonfHub: Formal notices under this agreement must be sent in writing via registered post or courier to our official registered corporate address, with a copy emailed to legal@konfhub.com.
  • To the User: We will send notices to you by posting them on the Platform dashboard or by emailing them to the primary email address linked to your Account. You consent to receive operational updates, tax invoices, legal notices, and modifications electronically, and you acknowledge that electronic communications satisfy any statutory requirement that communications be in writing.

Entire Agreement

  • This Terms of Service agreement, together with our Cookie Policy (available at konfhub.com/legal/cookies), formal Privacy Policy, Data Processing Agreement (DPA) (if executed), and any specific pricing contracts or enterprise Addenda signed between the parties, constitutes the entire, integrated agreement between you and KonfHub regarding your use of the Platform and Services. This document supersedes all prior or contemporaneous discussions, negotiations, representations, oral statements, or promotional materials regarding the subject matter herein.

Severability

If any provision, clause, or sub-section of this Agreement is held by an arbitrator or a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited, modified, or severed to the minimum extent necessary so that its original intent is achieved to the maximum legal extent possible. The remaining provisions of this Agreement shall continue in full force, validity, and effect.

Assignment Restrictions

You may not assign, delegate, sublicense, or transfer this Agreement, or any of your rights or obligations hereunder, to any third party without the express, prior written consent of KonfHub.

No Waiver

No failure or delay by either party to exercise any right, power, option, or remedy under this Agreement shall operate as a waiver of that right or any subsequent right. A waiver of any specific breach or default shall not constitute a waiver of any subsequent or different breach or default. To be legally effective, any waiver must be executed in writing by an authorized representative of the waiving party.

Terms Modification & Version Control

Material & Non-Material Changes

KonfHub may update, modify, or amend these Terms from time to time. Changes may take effect immediately by mentioning the changes on the Platform dashboard at or prior to the effective date of the change.

Version History & Changelog

KonfHub shall maintain a publicly accessible version history and change log of all Terms revisions at konfhub.com/legal/changelog. This log shall include: (a) the version number and effective date of each revision; (b) a plain-language summary of Material Changes in each version; and (c) links to the full text of each prior version, retained for a minimum of three (3) years following supersession. The current binding version of these Terms will always be accessible at konfhub.com/legal/terms.

Emergency Amendments

Notwithstanding Section 21.1, KonfHub may implement Terms amendments with immediate or shortened notice periods where required by: (a) a binding order, judgment, or regulatory directive from a competent authority; (b) a critical security vulnerability requiring immediate protective measures; or (c) changes in applicable law that impose immediate compliance obligations. In such cases, KonfHub shall provide as much advance notice as is reasonably practicable and shall document the basis for the expedited amendment in the version changelog.
