This Terms of Service agreement ("Agreement" or "Terms") constitutes a legally binding contract between KonfHub Private Limited (together with its subsidiaries, affiliates, successors, and assigns, "KonfHub", "Company", "We", "Our", or "Us") and any natural person or legal entity accessing, registering for, or utilizing the platform, applications, software, tools, hardware components, or services provided by KonfHub (collectively, the "Platform" or "Services").
This document is published and compiled in accordance with the statutory requirements of the Information Technology Act, 2000 (India), the General Data Protection Regulation (GDPR) (EU), the Digital Personal Data Protection Act, 2023 (DPDP Act) (India), and other applicable international data sovereignty, consumer protection, and electronic commerce regulations within jurisdictions where the Platform is accessed.
This document operates as an electronic record generated by a computer system and does not require physical, facsimile, or digital signatures to assert its validity or enforceability.
By clicking "I Agree," "Sign Up," My Dashboard, "Create Event," "Purchase Ticket," or by otherwise navigating, accessing, or interacting with the Platform, you agree to these Terms, including any conditions, schedules, policies, and operating procedures embedded or linked herein. If you are entering into this Agreement on behalf of a company, corporate body, non-profit society, or other legal entity, you represent and agree that you possess the legal and corporate authority to bind such entity to these Terms. If you do not possess such authority, or if you do not agree with any provision within this document, you must cease all access, installation, and deployment of the Platform and Services.
To ensure interpretive clarity, the following terms, when capitalized throughout this Agreement, shall possess the meanings ascribed below:
The personalized digital profile, portal, dashboard, and access credentials created by or assigned to a User to utilize the Platform, including Organizer Profiles, Organizer dashboards, and Attendee information.
Any utility, algorithm, generative model, analytical framework, or system deployed on the Platform that leverages artificial intelligence, machine learning, computer vision, or automated logic, including but not limited to AI Networking recommendations, AI Photo Gallery tagging, AI Photo Booth generation, and automated session summaries.
Raw data, compiled metrics, behavioral tracking logs, conversion rates, click-through actions, traffic sources, registration tracking data, and engagement reports generated by the Platform regarding an Event or User activity.
The technical interfaces, code libraries, documentation, and connection protocols provided by KonfHub that permit external software systems to interact programmatically with the Platform.
Any local, state, national, or international statute, regulation, ordinance, rule, directive, code, judgment, decree, or administrative policy enforced by a competent governmental authority, regulatory body, or court of law, including but not limited to the IT Act 2000, GDPR, and DPDP Act 2023.
Any individual who registers for, checks into, claims a complimentary pass for, or purchases admission tickets to any Event hosted or managed through the Platform.
The on-site or digital utility, hardware driver connection, template generator, or check-in module provided by KonfHub to facilitate the creation and physical rendering of event credentials.
The batch processing utility allowing Organizers to import datasets, including Attendee lists, coupon groups, Speaker profiles, or schedule metadata, via CSV, or Excel formats.
A formal financial dispute, reversal, or payment cancellation initiated by an Attendee or cardholder directly through their issuing bank, credit card company, or clearing network.
Any text, software, code, scripts, graphics, photos, sounds, music, videos, interactive capabilities, design layouts, and compiled materials accessible on or through the Platform.
A period of fifteen (15) calendar days following written notice from KonfHub to an Organizer or User, during which the notified party may remedy a non-critical, non-fraudulent breach of this Agreement before suspension or termination may be effected.
A digital token, document, PDF credential, or verifiable badge generated by the Platform on behalf of an Organizer to certify an Attendee's participation, completion, or performance at an Event.
Any virtual, hybrid, or in-person conference, hackathon, workshop, community meetup, seminar, quiz, exhibition, or assembly created, managed, and hosted via the Services.
The mobile application, progressive web app (PWA), or web-based companion software provisioned by KonfHub for Attendees and Organizers to navigate schedules, network, capture leads, and interact during an Event.
The dedicated sub-dashboard or account interface within the Platform configured for third-party exhibitors, vendors, or sponsors to manage their digital booths, upload promotional content, view lead analytics, and execute Lead Capture.
The optional, consent-based biometrics-assisted computer vision features utilized within the AI Photo Gallery or physical check-in apparatus to identify, tag, or verify individuals based on facial geometry.
All monetary amounts payable by a User to KonfHub, encompassing SaaS fee/usage charges, percentage-based or flat ticket processing fees, marketplace commissions, add-on feature fees, and gateway charges.
All intellectual property, source code, object code, proprietary interfaces, UI/UX designs, trademarks, patents, algorithms, database structures, security protocols, and operational workflows owned or licensed by KonfHub.
The feature set, QR code scanner utility, and data collection tools accessible via the Event App or Exhibitor Portal that enables Exhibitors, Organizers, or Sponsors to collect and download contact records from consenting Attendees.
Any amendment, modification, or update to this Agreement that: (a) increases Fees or introduces new fees; (b) reduces KonfHub's liability or expands its liability exclusions; (c) alters data processing terms or privacy rights; (d) changes the dispute resolution mechanism, governing law, or arbitration venue; or (e) materially limits User rights or expands User obligations.
Financial transactions executed outside KonfHub's integrated payment gateways, including but not limited to physical cash collections, direct corporate bank wires (NEFT/RTGS/IMPS/SWIFT), corporate purchase orders (POs), or checks.
Any individual, community group, corporate entity, or institution that instantiates, builds, brands, sells tickets for, or administers an Event on the Platform.
The role-based access control (RBAC) privileges granted to secondary users within an Organizer Profile, governing the capacity to edit configurations, view financial data, or download Attendee logs.
Any information relating to an identified or identifiable natural person ("data subject" or "data principal") processed by the Platform, as defined under applicable GDPR and DPDP Act provisions.
Two-dimensional barcodes generated by the Platform containing unique (cryptographic) strings used for ticket verification, Lead Capture, session check-ins, or interactive routing.
The tracking architecture, hardware scanner compatibility, or app-based logging tools used to record Attendee presence at specific sub-events, keynotes, tracks, or workshops within a broader Event framework.
An individual designated within the Platform by an Organizer to deliver thematic presentations, participate in panels, or guide workshops at an Event.
An entity or individual provisioned with promotional tier access, digital booths, or brand placement on an Event page in exchange for capital or material contributions to the Event.
The recurring billing arrangement (monthly, quarterly, or annually) entered into by an Organizer to secure tiered software capabilities, white-label configurations, or expanded volume capacities on the Platform.
An Organizer account configuration that permits multiple individual sub-users to collaborate on event design, operation, and analytical monitoring under a centralized corporate identity.
The ratio of total minutes in a calendar month during which the Platform's core ticketing, registration, and event management functions are accessible and operational (excluding planned maintenance windows communicated at least forty-eight (48) hours in advance), divided by total minutes in that calendar month, expressed as a percentage.
Any person or entity that registers an account, interacts with, or accesses the Platform, encompassing Organizers, Attendees, Organizer Account sub-users, Speakers, and Sponsor representatives.
Any text, graphics, presentation decks, logos, videos, audio files, images, branding elements, or metadata uploaded, generated, or transmitted to the Platform by any User.
Automated, event-driven HTTP POST callbacks generated by the Platform to send real-time structured data payloads to external systems upon specified triggers (e.g., ticket purchased, attendee checked in).
An advanced platform configuration wherein KonfHub's native branding is suppressed, masked, or replaced with the domain names, custom branding, and logos of the Organizer.
To establish an Account or utilize the Services, you must be a natural person of at least eighteen (18) years of age, or the legal age of majority within your jurisdiction, and possess the full legal and contractual capacity to enter into a binding agreement.
Users must provide accurate, current, authentic, and complete information during the onboarding and registration process, including verified email addresses, phone numbers, and legitimate tax or corporate registration documentation where required. You assume primary responsibility for operational failures, settlement delays, or legal non-compliance arising directly from inaccurate, obsolete, or falsified registration metrics.
Your Account credentials (usernames, passwords, API tokens, integration keys) are confidential. You are the custodian of these keys. Actions taken under your Account credentials will be deemed as actions initiated by you. You must notify KonfHub's security desk immediately at security@konfhub.com upon discovering or suspecting unauthorized access, credential breach, or system vulnerability associated with your account.
The master Organizer account retains primary legal and financial responsibility for configurations, data alterations, ticket adjustments, and platform operations executed by invited sub-users.
The master Organizer is responsible for configuring Organizer Permissions (Role-Based Access Controls) appropriately. KonfHub is not liable for data deletions, unauthorized ticket price modifications, leakage of attendee lists, or financial adjustments resulting from an Organizer granting inappropriate permission levels to team members or third-party contractors.
This Section defines the parameters of permitted behavior on the Platform. A violation of these clauses constitutes a material breach of this Agreement, authorizing KonfHub to invoke suspension or termination measures in accordance with Section 14.
You agree that you shall not utilize the Platform, Services, or infrastructure to engage in, facilitate, or support:
When acting as an Organizer, you are entering into a direct and independent contractual relationship with your Attendees, Speakers, Sponsors, Exhibitors, and other Event participants. KonfHub provides the technology platform and software tools that facilitate the creation, management, promotion, ticketing, and operation of Events, but is not the organizer, promoter, owner, or host of any Event unless expressly stated otherwise.
The Organizer remains solely responsible for the planning, content, conduct, safety, regulatory compliance, execution, and fulfillment of the Event and all commitments made to Event participants.
Organizers must ensure all descriptive elements uploaded to an event page—including venue addresses, schedules, speaker lists, ticket pricing tiers, inclusive amenities, and sponsor placements—are clear and factual. Organizers may not modify event parameters post-sale so substantially (such as shifting an event from a physical city venue to a basic virtual webinar without adequate notice or alternative choices) that it violates applicable consumer protection laws.
Organizers utilizing specialized product features agree to the following parameters:
Organizers providing an Exhibitor Portal to corporate sponsors or vendors must ensure that exhibitors comply with applicable privacy rules. When exhibitors utilize the Lead Capture utility (e.g., scanning an Attendee's physical badge QR Code via the Event App or Exhibitor Portal), the Organizer and Exhibitor are responsible for ensuring that the Attendee has provided informed consent to have their contact profile captured. KonfHub acts as a technical conduit for lead data transmission and is not responsible for how exhibitors process, store, or contact captured leads.
KonfHub generates digital ticket tokens embedded with QR Codes for secure validation. While KonfHub provides compatible software plugins or layout architectures for Badge Printing, the Organizer is responsible for procuring, testing, and managing the physical printing hardware, internet connectivity at the venue gates, and local staffing required to handle physical check-in flow.
When utilizing the Bulk Uploads utility to import databases of attendees or partners, the Organizer represents and agrees that every individual within the uploaded dataset has given verifiable legal consent to be imported into the Platform ecosystem and to receive automated platform emails, transactional SMS, or WhatsApp notifications.
KonfHub shall provide reasonable technical tools and documentation within the Bulk Upload interface to assist Organizers in recording and evidencing consent status for uploaded individuals. Where KonfHub processes Personal Data uploaded via Bulk Uploads on behalf of the Organizer, it does so as a data processor within the meaning of GDPR Article 28, and both parties acknowledge shared obligations under applicable data protection law. KonfHub's liability for processing failures under this sub-section is limited to failures caused by KonfHub's own systems or malformed data transmitted by KonfHub; the Organizer bears responsibility for failures arising from incomplete or incorrect source data.
Organizers are responsible for validating the accuracy of attendee compliance metrics before authorizing the automated distribution of Digital Certificates. KonfHub is not responsible for typographical errors, fraudulent certificate claims, or unearned credentials issued via the automated template manager.
The Platform provides specialized tracking mechanisms for granular Session Check-ins. Organizers acknowledge that compiled Analytics graphs, attendance tallies, and heatmaps are derived from real-time user data streams and hardware scans. While KonfHub takes steps to ensure processing accuracy, it does not guarantee that analytics will represent continuous real-time data under unstable local network environments.
For premium tiers utilizing White-label Events, the Organizer is responsible for purchasing, pointing, and maintaining their custom domain name, keeping SSL/TLS certifications configured, and managing domain-specific email authentication protocols (such as SPF, DKIM, and DMARC keys). KonfHub is not liable for event page invisibility, email delivery failures, or security blocks caused by misconfigured DNS zones or domain expirations under the Organizer's control.
Attendees must register for Events using their true legal identity or official professional profiles. You are prohibited from transferring, sharing, lending, or selling your ticket QR Codes, physical badges, or Event App access codes to another individual without the verification of the Organizer and system modification via the Platform.
Whether attending an Event virtually via the Event App, participating in an AI Networking chat, or occupying a seat at a physical venue, Attendees must maintain professional decorum.
When an Attendee allows an Organizer, Sponsor, or Exhibitor to scan the QR Code on their mobile device or physical badge using the Lead Capture feature, that Attendee acknowledges that they are voluntarily disclosing their registration profile data (including name, email, phone number, and corporate title) to that specific third party. This action constitutes direct consent, and the Attendee must look to that third party's privacy policy regarding how their personal dataset is managed thereafter.
KonfHub integrates with third-party payment infrastructure providers (e.g., Stripe, Razorpay). KonfHub is not a bank, money transmitter, or licensed clearinghouse. We are not liable for transaction failures, bank routing delays, localized payment interface dropouts, or security card blocks enforced by an Attendee's issuing bank.
The Platform permits Organizers to toggle an option for Offline Payments (e.g., purchase orders, checks, direct corporate bank wires). When an Attendee selects this option, the Platform generates a pending ticket and invoice. The Organizer assumes primary responsibility for the monitoring, manual verification, and financial collection associated with Offline Payments. KonfHub does not track bank wire arrivals, verify check clearances, or collect outstanding debts. The Organizer must manually confirm receipt within the dashboard to convert the ticket from "Pending" to "Active." KonfHub reserves the right to charge its platform processing fees for tickets validated through this tracking mechanism.
Every Organizer establishes their own specific refund and cancellation policy (e.g., "No Refunds," "Partial Refunds up to 7 days before event"). This policy must be clearly displayed to Attendees on the event registration page. Attendees agree that requests for refunds must be directed to the Organizer, and KonfHub does not act as an arbitrator for subjective disputes regarding an event's value or adjustments to its schedule.
If an event is postponed, converted from physical to a virtual web format, experiences major speaker or venue adjustments, or is canceled due to external circumstances, the responsibility to issue, process, and manage attendee refunds sits with the Organizer. KonfHub is not under an obligation to issue refunds out of its corporate capital if an Organizer becomes insolvent, enters liquidation, or abandons an event.
In scenarios where a payment clears at the exact moment a ticket category sells out completely, or if a verified technical glitch causes a duplicate charge, KonfHub's system will trigger a reversal. This automated refund will be processed back to the original mode of payment, typically taking approximately 5 to 7 business days depending on standard gateway clearance cycles.
The distribution of proprietary rights on the Platform is separated into four distinct categories:
KonfHub retains all right, title, and interest in and to the Platform and Services. This includes, without limitation, software code, algorithmic logic, UI/UX designs, database models, graphics, infrastructure scripts, security protocols, API keys, tracking metrics, trademarks (including "KonfHub"), patents, and corporate trade secrets. You do not acquire any ownership rights or implied licenses by accessing or using the Platform.
The Organizer retains proprietary ownership over pre-existing trademarks, logos, brand guides, event themes, promotional graphics, and specific educational materials uploaded by them to customize their event pages. The Organizer grants KonfHub a non-exclusive, worldwide, royalty-free license to host, cache, display, and distribute the Organizer IP solely to execute, market, and perform the Services under this Agreement. Any sublicensing of Organizer IP is expressly restricted to authorized subprocessors and service providers engaged by KonfHub solely for the purpose of delivering the Services, and shall not extend to any commercial use, advertising, marketing of KonfHub's own products, or any purpose beyond direct service delivery.
Attendees retain ownership over comments, text strings, feedback, profile photos, or workshop submissions they upload to the Platform or within the Event App. Attendees grant KonfHub and the specific Organizer a non-exclusive, worldwide, royalty-free license to display, index, and host this content within the scope of the Event parameters.
Speakers retain their fundamental intellectual property rights regarding presentation slides, research papers, video lectures, and live speech scripts. The Speaker (or the Organizer, depending on their private arrangement) grants KonfHub the limited right to live-stream, record, compress, transcode, and play back such materials within the digital parameters of the Event App and post-event archives as authorized by the event configuration settings.
Any User who uploads, posts, streams, or transmits User Content through the Platform represents and agrees that they possess necessary copyrights, licensing rights, releases, and individual permissions required to publish such material.
User Content must not contain material that:
KonfHub respects intellectual property laws. If you believe that material hosted on the Platform infringes upon your copyright, you may submit a formal Takedown Notice to our designated Intellectual Property Agent at legal@konfhub.com. Your notice should include:
KonfHub may review, flag, filter, modify, refuse, or remove User Content from the Platform if it determines such content violates this Agreement or poses a legal risk.
Archival Retention Limits: KonfHub may archive past event pages, databases, and historical user content configurations to maintain system records and ensure compliance with administrative storage regulations. However, such archival retention shall not exceed three (3) years following the conclusion of the relevant Event, after which KonfHub shall automatically delete or anonymize such archived event content in accordance with its data deletion procedures. Users and Organizers may submit a written request to legal@konfhub.com to request early deletion of their archived event content prior to the three-year period, subject to KonfHub's reasonable administrative requirements and applicable legal retention obligations.
The Platform contains advanced features driven by automated artificial intelligence models ("AI Features"), including but not limited to AI Networking, AI Photo Gallery, AI Photo Booth, and other AI-assisted capabilities that may be introduced from time to time.
KonfHub processes personal records in high-level compliance with international data protection frameworks, including the EU General Data Protection Regulation (GDPR) and the Indian Digital Personal Data Protection Act, 2023 (DPDP Act). The detailed operational mechanics, explicit data subject rights pathways, legal bases for processing, retention timelines, cookie infrastructure, and cross-border data transfer protocols are fully mapped and explicitly governed under the formal KonfHub Privacy Policy.
Where required by applicable data protection laws, KonfHub will enter into a formal Data Processing Agreement (DPA) with the Organizer to govern the processing of Attendee and Event datasets. Eligible institutional or enterprise Organizers requiring these formalized data processing terms can initiate and execute our standard DPA by visiting the official compliance portal at konfhub.com/legal/dpa.
To deliver the Services under this Agreement, KonfHub utilizes certain cloud hosting providers, payment gateways, and communications infrastructure subprocessors. A comprehensive, up-to-date registry of all authorized subprocessors is maintained on our website at konfhub.com/legal/subprocessors and may change from time to time as our infrastructure needs evolve.
In accordance with the mandates of the DPDP Act 2023, KonfHub has appointed a specialized Grievance Officer to manage data principal inquiries, consent withdrawals, and privacy complaints. Users may access the dedicated grievance redressal channel by routing formal communications to grievance.officer@konfhub.com. The Grievance Officer will acknowledge your message within 48 hours and make good-faith efforts to resolve the matter within the maximum timelines prescribed by statutory provisions.
"Confidential Information" encompasses all structural, technical, financial, operational, or business information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Platform source code, non-public event analytics, attendee datasets, corporate passwords, custom integration designs, and strategic pricing agreements constitute Confidential Information.
The Receiving Party agrees that it shall:
The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by local law, regulatory decree, or an official court subpoena to do so. The Receiving Party must give the Disclosing Party prompt, advanced written notice of the compelled disclosure (to the extent legally permitted) so that the Disclosing Party may contest, limit, or seek a protective order regarding the disclosure, at its own expense.
KonfHub may suspend your Account, freeze active payout distributions, disable API access keys, or restrict access to an active Event page where reasonably necessary. Except in the circumstances listed below as Immediate Suspension Events, KonfHub shall provide a minimum of forty-eight (48) hours written notice prior to implementing any suspension, and shall provide a Cure Period of fifteen (15) calendar days for non-critical violations during which the affected party may remedy the identified breach before the suspension takes effect.

Payout Freeze Appeal: If KonfHub freezes payout distributions, the Organizer may submit a written appeal to support@konfhub.com within fifteen (15) business days. KonfHub shall respond in writing within ten (10) business days, providing either a release of the freeze or a detailed written justification for its continuance.
Upon the effective termination of your Account or this Agreement:
You agree to indemnify, defend, and hold harmless KonfHub, its parent corporations, subsidiaries, affiliates, and their respective directors, officers, employees, and legal agents (collectively, the "Indemnified Parties") from and against any third-party claims, demands, lawsuits, regulatory investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of, or relating to:
Except for a party's direct indemnification obligations under Section 15, or liability arising from a party's fraud, willful misconduct, or gross negligence, each party's total aggregate liability to the other for all claims, losses, or causes of action arising under or related to this agreement shall be strictly capped at, and shall not exceed, the greater of the total amount of ticket sale amount & fee actually retained by KonfHub from your specific account during the twelve (12) month period immediately preceding the event giving rise to liability.
Nothing within this Section or this Agreement is intended to limit, exclude, or modify any rights, guarantees, or consumer protections that cannot be lawfully excluded or limited under applicable local consumer protection laws or mandatory statutory frameworks. In jurisdictions where blanket exclusions of certain warranties or limitations of incidental or consequential damages are legally invalid, KonfHub's liability shall be limited to the maximum extent permitted by the laws of that jurisdiction.
The Platform and its underlying software components may be subject to international export control regulations and trade sanctions regimes. You represent, agree, and covenant that:
The Platform incorporates, utilizes, or connects with certain third-party software elements, libraries, or scripts licensed under open-source frameworks (collectively, "Open Source Software"). You acknowledge that while your master relationship with KonfHub is governed strictly by these Terms, specific Open Source Software components may be governed by their respective open-source licensing agreements (such as the MIT License, Apache License, or GNU General Public License). To the extent required by the applicable open-source license, the terms of such license shall apply to that specific component in lieu of these Terms.
KonfHub is committed to improving digital inclusion and platform usability. We make reasonable, ongoing efforts to design and align our core digital user interfaces, Event Apps, and attendee registration portals toward generally accepted accessibility standards, including the Web Content Accessibility Guidelines (WCAG) where reasonably practicable. If you encounter specific accessibility blocks or require reasonable accommodations, please notify our compliance desk at support@konfhub.com.
Neither party shall be held liable or deemed in default for any failure or delay in performing its obligations under this Agreement (with the explicit exception of outstanding financial payment and subscription obligations) if such failure or delay is caused by circumstances beyond its reasonable control.
These circumstances include, but are not limited to: acts of God, natural disasters, floods, earthquakes, fires, lightning strikes, widespread blackouts, severe weather anomalies, pandemics, epidemics, public health emergencies, government-mandated lockdowns, travel restrictions, civil unrest, riots, acts of terrorism, war, sabotage, cyber-warfare, distributed denial-of-service (DDoS) attacks targeting core tier-1 cloud nodes, or widespread failures of public telecommunications networks and internet service providers.
The affected party must provide written notice to the other party detailing the nature of the Force Majeure event and must use reasonable efforts to mitigate its effects and resume performance as soon as practically possible.
Extended Force Majeure — Termination Right: If a Force Majeure event prevents or substantially impairs a party's ability to perform its material obligations under this Agreement for a continuous period exceeding ninety (90) calendar days, either party shall have the right to terminate this Agreement upon fourteen (14) days' written notice to the other party, without liability or penalty, except for: (a) payment obligations that have already accrued; and (b) any amounts owed for events that were successfully completed prior to the onset of the Force Majeure event.
In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, its interpretation, performance, or breach, the parties shall first attempt to resolve the issue amicably. The aggrieved party must send a formal written notice of dispute to legal@konfhub.com. Upon receipt, authorized representatives from both parties shall engage in good-faith consultations within thirty (30) business days from the date of the notice to reach a mutually acceptable resolution.
If the dispute cannot be resolved through informal conciliation within the thirty (30) day window, it shall be referred to and finally resolved by binding arbitration, subject to the consumer carve-outs below.
Injunctive Relief Savings Carve-out: Nothing within this Section or this Agreement shall prevent or restrict either party from seeking temporary injunctive relief, emergency provisional constraints, or protective orders from a court of competent jurisdiction to preserve the status quo or protect its intellectual property interests pending the final appointment and decision of the arbitral tribunal.
Class Action Waiver: EACH PARTY WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER PARTY. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. This waiver does not apply where prohibited by mandatory applicable law. If you do not wish to be bound by this class action waiver, you must notify KonfHub in writing at legal@konfhub.com within thirty (30) days of first creating your Account. Opting out of the class action waiver does not affect any other provision of this Agreement.
The arbitral award shall be final and binding upon both parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction worldwide. Each party shall bear its own expenses and an equal share of the arbitrator's administrative fees, unless the arbitrator's final award allocates costs differently to the prevailing party.
This Agreement shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to the arbitration framework set forth in Section 19, any remaining legal suits, actions, or court proceedings arising out of or related to this Agreement shall be instituted exclusively in the competent courts located in Bengaluru, Karnataka, India.
If any provision, clause, or sub-section of this Agreement is held by an arbitrator or a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited, modified, or severed to the minimum extent necessary so that its original intent is achieved to the maximum legal extent possible. The remaining provisions of this Agreement shall continue in full force, validity, and effect.
You may not assign, delegate, sublicense, or transfer this Agreement, or any of your rights or obligations hereunder, to any third party without the express, prior written consent of KonfHub.
No failure or delay by either party to exercise any right, power, option, or remedy under this Agreement shall operate as a waiver of that right or any subsequent right. A waiver of any specific breach or default shall not constitute a waiver of any subsequent or different breach or default. To be legally effective, any waiver must be executed in writing by an authorized representative of the waiving party.
KonfHub may update, modify, or amend these Terms from time to time. Changes may take effect immediately by mentioning the changes on the Platform dashboard at or prior to the effective date of the change.
KonfHub shall maintain a publicly accessible version history and change log of all Terms revisions at konfhub.com/legal/changelog. This log shall include: (a) the version number and effective date of each revision; (b) a plain-language summary of Material Changes in each version; and (c) links to the full text of each prior version, retained for a minimum of three (3) years following supersession. The current binding version of these Terms will always be accessible at konfhub.com/legal/terms.
Notwithstanding Section 21.1, KonfHub may implement Terms amendments with immediate or shortened notice periods where required by: (a) a binding order, judgment, or regulatory directive from a competent authority; (b) a critical security vulnerability requiring immediate protective measures; or (c) changes in applicable law that impose immediate compliance obligations. In such cases, KonfHub shall provide as much advance notice as is reasonably practicable and shall document the basis for the expedited amendment in the version changelog.
